Cleo — Terms of Service
Effective Date: October 8, 2026
1. Agreement to Terms
By creating an account or using Cleo (the "Service"), operated by Tyler Seminetta ("Cleo," "we," "us," or "our"), you agree to these Terms of Service ("Terms"). If you are creating an account on behalf of a team or organization, you represent that you have the authority to bind that organization to these Terms.
2. Description of the Service
Cleo is a client and project intake management tool that lets users log inbound communications, track tasks and pipeline stages, manage client or project records, and generate reports. Cleo may offer optional AI-assisted features, described in Section 6.
3.1 Individual Accounts
You may use Cleo as an individual, in which case you alone control your data within the Service.
3.2 Teams
You may create a team, in which case you become that team's administrator, or join an existing team using an invite code, in which case your role (administrator or team member) is assigned as described during signup.
3.3 Account Security
You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us promptly of any unauthorized use.
3.4 Eligibility
You must be at least 18 years old, or the age of legal majority in your jurisdiction, to create an account.
4.1 You Own Your Content
You retain all rights to the information you submit to Cleo, including client or project records, notes, uploaded files, and intake communications ("Your Content").
4.2 License to Operate the Service
You grant us a limited license to host, store, process, and display Your Content solely to provide and maintain the Service.
4.3 Your Responsibility for Third-Party Data
Much of Your Content may include personal information about your own clients, customers, or contacts who are not Cleo users themselves. You are solely responsible for having the legal right to collect, submit, and store that information in Cleo, and for complying with any privacy laws that apply to you as the party that collected it. Cleo acts as a data processor for that information on your behalf; you remain the data controller.
4.4 Prohibited Content
You will not use Cleo to store or process information you do not have the right to hold, or that violates applicable law, including sensitive categories of data (for example, government identification numbers, financial account numbers, or health records) unless you have independently confirmed you may lawfully do so and have obtained any required consents.
4.5 No Compliance or Legal Advice
Cleo does not review, verify, or vouch for the lawfulness of any content you or your team submits, and using Cleo does not by itself make you compliant with any privacy, data protection, or other law. You are solely responsible for determining what information you may lawfully collect and store, for obtaining any consents or providing any notices required from the individuals whose information you submit, and for responding to those individuals' requests about their information. Cleo assumes no responsibility or liability toward any person whose information a user submits to the Service, other than as expressly stated in our Privacy Policy.
5. Acceptable Use
You agree not to:
  • Use Cleo for any unlawful purpose
  • Attempt to gain unauthorized access to any part of the Service or another user's data
  • Interfere with or disrupt the Service
  • Upload malicious code
  • Use the Service to harass, defraud, or harm any person
6. AI-Assisted Features
Cleo offers optional AI-assisted analysis of intake communications (for example, categorization, urgency detection, and suggested replies). When enabled, the content you submit for analysis is sent to a third-party AI provider (currently Anthropic) for processing. Do not submit content for AI analysis that you are not permitted to share with that provider. AI-generated output (summaries, suggested categories, draft replies) may be inaccurate or incomplete and should be reviewed by a person before you rely on it.
7. Third-Party Services
Cleo relies on third-party providers to operate, including hosting and database infrastructure, transactional email delivery, payment processing for Cleo Pro, and, if enabled, AI processing and sign-in providers. A current list of these providers is available in our Privacy Policy. We are not responsible for the acts or omissions of these third parties, though we select them with reasonable care.
8. Fees and Billing
Cleo has two plans. The Free plan is provided at no charge. Cleo Pro is a paid subscription that adds the AI-assisted features described in Section 6. The current price of Cleo Pro, for monthly and annual billing, and whether it is charged per seat for a team, is shown at checkout before you subscribe, and your subscription is for the price shown at that time.
Free trial. The first time a workspace subscribes to Cleo Pro, it may be offered a 14 day free trial. A payment card is required to start the trial. If you do not cancel before the trial ends, your card is charged automatically at the end of the trial and your subscription continues on the plan you chose. A workspace that has had a Cleo Pro subscription before is not offered a second trial.
Automatic renewal. Cleo Pro renews automatically at the end of each billing period, monthly or annual depending on the plan you chose, and your card is charged the then current price for that period unless you cancel first. Payments are processed by Stripe; we do not store your full card number.
Cancelling. You can cancel at any time from Settings, in the Subscription tab, by choosing Manage billing. Cancelling stops the next renewal; it does not end your subscription immediately. Cleo Pro stays on until the end of the period you have already paid for (or the end of the trial), and you will not be charged again. Only the workspace owner or a team admin can manage billing.
Refunds. Except where the law requires otherwise, fees already paid are not refunded, and we do not give partial refunds for the unused part of a billing period. If you believe you were charged in error, contact us at the address in Section 17 and we will look into it.
Failed payments. If a renewal payment fails, we or our payment provider may retry the card. Cleo Pro stays on while the payment is retried. If the payment cannot be collected, your subscription ends and your workspace returns to the Free plan. You can update your card at any time from Manage billing.
When Cleo Pro ends. When a subscription ends, whether you cancelled it or a payment could not be collected, the Pro features, including the AI-assisted features, switch off for the whole workspace. Your records, tasks, files, and other content are not deleted, and you can keep using the Free plan or subscribe again at any time.
Changes to pricing. We may change the price of Cleo Pro or what each plan includes. We will give you advance notice, and a price change applies from your next renewal after the notice, so you can cancel before it takes effect.
9. Intellectual Property
Cleo, including its software, design, and branding, is owned by us and protected by intellectual property law. These Terms do not grant you any rights to our trademarks, logos, or branding except as necessary to use the Service.
10. Termination
You may stop using Cleo and delete your account at any time, from Settings. If other members of your team remain, your sign-in and personal details are erased and the content you worked on stays with your team, attributed to "Former member"; if you use Cleo on your own, or are the last active member of your team, the workspace and all of its content, including uploaded files, are permanently deleted. If the workspace that would be deleted has an active paid subscription, you must cancel it first (see Section 8), and the only admin of a team with other active members must first make one of them an admin. We may suspend or terminate your access if you violate these Terms, if required by law, or if we discontinue the Service, and will make reasonable efforts to give you notice and an opportunity to export Your Content first except where immediate action is necessary.
11. Disclaimers
THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT GUARANTEE THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, TYLER SEMINETTA WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF DATA, PROFITS, OR REVENUE, ARISING OUT OF YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE AMOUNT YOU PAID US, IF ANY, IN THE TWELVE MONTHS BEFORE THE CLAIM AROSE.
13. Indemnification
You agree to indemnify and hold us harmless from any claims, damages, or expenses (including reasonable legal fees) arising from Your Content, your violation of these Terms, or your violation of any law or third-party right, including any privacy or data protection claim brought by, or on behalf of, a client or contact whose information you submitted to Cleo without the legal right or required consent to do so.
14. Data Security
We use reasonable technical and organizational measures to protect Your Content, but no method of transmission or storage is completely secure, and we cannot guarantee absolute security.
15. Changes to These Terms
We may update these Terms from time to time. We will post the updated Terms with a new effective date, and material changes will be communicated to you through the Service or by email.
16. Governing Law
These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-laws principles.
